BLAQUE NET – TERMS OF SERVICE

1. Acceptance; Binding Contract

Accessing or using Blaque Net means you agree to these Terms. These form a binding legal contract. If you do not agree, do not use our services.

2. Eligibility

You must have legal capacity (e.g. 18+ or local majority) to agree. If you represent a business, you affirm you are authorized to bind that business.

3. Amendments

Blaque Net reserves the unilateral right to modify these Terms at any time, with changes effective upon posting. Continued use constitutes your acceptance; periodic review is your responsibility.

4. Account Use & Credentials

You agree to provide and maintain accurate, current information. You are responsible for all activity under your account and must keep credentials confidential. Blaque Net can suspend or terminate your account at any time, with or without notice, for violations.

5. License Grant; Scope

• You are granted a revocable, limited, non‑exclusive, non‑transferable, sub‑licensable, worldwide license to access the platform for permitted uses.

• User Content License: You retain ownership of what you post, but irrevocably grant Blaque Net and its affiliates a worldwide, royalty‑free, transferable, sublicensable license to host, store, use, reproduce, modify, publicly perform or display, translate, distribute and create derivative works (“License”) on a through‑to‑the‑audience basis. You waive any moral rights, rights of attribution or integrity, and agree not to assert them. 

• Blaque Net can remove, crop, edit, refuse to publish, restrict access to, or delete content in its sole discretion, with or without notice and without liability. 

6. Content Standards & Conduct

You may not upload or disseminate content that:

• Violates laws (IP, defamation, export control, privacy, etc.).

• Is obscene, harassing, hateful, fraudulent, infringing, or deceptive.

• Automates scraping, data mining, or reverse‑engineering.
  We reserve the right to enforce restrictions and provide account‑level sanctions, including removal or limitation of posting or messaging rights. 

7. Third‑Party Integrations

Use of APIs, plugins, third‑party services or links is at your own risk. We disclaim liability for content or practices of third parties. We may share your data with authorized third‑party service providers under strict confidentiality and only for Platform operations or marketing as permitted by you.

8. Termination & Survival

Either party may terminate your access at any time. Key provisions (intellectual property, indemnity, limitation of liability, choice of law, dispute resolution, content license, rights upon termination) survive termination. 

9. Indemnification

You agree to indemnify and hold Blaque Net, its affiliates, and their officers, directors, employees, agents and advisors harmless from any claims, damages, losses, costs and expenses (including attorneys’ fees) arising from your breach, misuse, conduct or content.

10. Disclaimers; “As‑Is”

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES—EXPRESS OR IMPLIED—including MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT. No guarantee of availability, security, reliability, uptime, or data integrity.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLAQUE NET AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. Total liability is capped at the fees paid by you in the prior 12 months—or a specified maximum. Exceptions apply only where prohibited by law (e.g. personal injury, gross negligence, intellectual‑property violations). 

12. Dispute Resolution & Arbitration

For U.S. users: claims must first proceed through an informal dispute resolution process. If unresolved within sixty (60) days, binding individual arbitration applies under AAA rules. No class actions allowed. Users may opt out within 30 days if they notify us in writing. 
For international users: choice of law and jurisdiction depends on region, aligning with where services are directed or headquartered (e.g., link to Ireland for EU). 

13. Export Control & Compliance

You represent that you are not barred by law or trade sanctions from exporting, re‑exporting or receiving the software or services; you comply with all applicable export laws.

14. Miscellaneous

• Severability: any invalid provision is severed; remainder stays effective.

• Waiver: failure to enforce rights doesn’t waive them.

• Assignment: You may not assign these Terms; Blaque Net may assign to an affiliate or acquirer without notice.

• Notices: Legal notices only in writing to designated addresses.
